Choosing a Chinese company name is step one of registration — and where most foreign founders waste 2–3 weeks. The Chinese-character name must follow strict structure rules, pass a SAMR availability check, and be reserved before you file articles or sign a lease.

Why the Chinese name actually matters
The Chinese name appears on the business licence, the chops, the bank account, the fapiao, and every contract. Counterparties identify you by the Chinese name — not your English brand. SAMR registers only the Chinese name; the English version is informal, no legal status.
Three consequences of getting it wrong: - Brand sabotage — wrong characters sound silly or off-brand (Coca-Cola's 1920s disaster). - Trademark conflict — SAMR's check is structural, not a trademark check. You can register a name that infringes a registered mark and get sued in year two. - Discoverability — Chinese buyers search in Chinese characters. A bad name is invisible.
The 4-part structure (mandatory order)
- Administrative region — city/province (e.g. Shanghai, Beijing).
- Trade name (your brand) — 2–6 Chinese characters. This is where identity lives.
- Industry / business category — standardized term (consulting, trading, technology).
- Organizational form — LLC or JSC.
Example: Shanghai + ZhiSheng + Consulting + Co., Ltd. The trade name (ZhiSheng = wisdom + victory) is your choice; the other three are dictated.
Rules SAMR enforces
- No identical or confusingly similar name in the same region + industry.
- No banned terms — political, regulatory (Bank, Insurance unless licensed), or numbers/letters as trade name.
- No misleading terms — e.g. "Group" without subsidiaries.
- Latin/English version allowed as secondary name, no legal status.
- National-scope names (just "China", no city) need central-government approval.
- Trade name must be 2–6 characters. One-character and 7+ usually rejected.
Density problem: common 2-character combos are heavily registered. For a Shanghai consulting WFOE, expect to test 5–10 candidates.
5-step registration process
- Brainstorm 5–10 trade names — mix transliteration + semantic.
- SAMR availability check — ~30% fail here.
- CNIPA trademark check — ~20% of SAMR-cleared names have trademark conflicts.
- Submit winning name to SAMR for reservation — valid 6 months.
- Use reserved name in articles + licence application.

The trademark check most founders skip
SAMR confirms structural availability — not whether the trade name infringes a registered trademark. Two-thirds of name-related lawsuits against foreign-invested enterprises come from exactly this.
Run the CNIPA search in parallel: - Search the proposed trade name in CNIPA's database. - Check at least classes 35 (ads), 41 (education), and your industry class. - If a third party owns it in your industry, pick another. - If unique, file your own Chinese-character trademark immediately.
China is first-to-file. Whoever files first wins.
Common mistakes
- Transliteration only — sounds right, means nothing (or something embarrassing). Use a native speaker.
- Skipping the trademark check — SAMR clearance ≠ trademark clearance.
- 4-character "auspicious" names already heavily registered.
- Parent company's exact transliteration when a competitor's China sub already uses it.
- Reserving in the wrong city — names are city-specific.
